These Terms of Service are entered into by and between you and Career Immersion Solutions LLC, d/b/a Upptik (also referred to as we and us or Upptik). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, Terms of Service or this Contract), govern your access to and use of Upptik.com, Upptik-branded apps (e.g. iOS, Android, Windows), and other Upptik-related sites, apps, communications and other services that state that they are offered under this Contract, including any content, functionality, and services offered on or through Upptik.com (together, the Services), whether as a Visitor or a Member.

Please read the Terms of Service carefully before you start to use the Services. By using the Services or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, found at Upptik Privacy Policy incorporated herein by reference. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Services.

The Services are offered and available to users who are at least 14 years of age and reside in the United States or any of its territories or possessions. By using the Services, you represent and warrant that you meet the applicable eligibility requirements described in these Terms.

1. Introduction

Upptik's mission is to revolutionize career planning for students and young adults by providing a supportive online community that leverages technology to help students create, build, and share multimedia resumes while connecting with near-peers, mentors, and professionals. Through the platform, users showcase their skills, experiences, and interests using video, images, and written content, and access guidance, mentorship, and resources to support informed educational and career decisions. Upptik is committed to creating a safe, engaging, and informative environment where students and young adults can explore their futures, build skills, and develop a positive self-image, all within a framework that respects their pace and individuality.

 

1.1 Contract

When you use our Services you agree to all of the terms herein. Your use of our Services is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information.

You agree that by clicking “Join Now”, “Join Upptik”, “Sign Up” “Login” or similar, registering, accessing or using our Services, you are agreeing to enter into a legally binding contract with Upptik (even if you are using our Services on behalf of a company, school or organization). If you do not agree to these Terms of Service, do not click “Join Now” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

 

Services

Members of our Services are users who have registered and created personal accounts and may be assigned roles such as Student, Mentor, Creator, Intern, Educator, Institutional Representative, or other roles we may offer or assign from time to time. Unregistered users are “Visitors” and not Members.

Upptik will be the controller of your personal data provided to, or collected by or for, or processed in connection with our Services.

This Contract applies to all Members and Visitors.

 

1.2 Members and Visitors

When you register and join the Upptik Services, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”

Membership types and roles (for example, Student, Mentor, Creator, and other roles we may offer or assign) may be offered in various free and paid (premium) service tiers.

 

1.3 Individual Users and Roles

Individuals who register for the Services create personal accounts and are assigned roles that determine access to features and areas of the Services. Roles may include student, mentor, creator, intern, educator, institutional representative, or other roles offered by Upptik from time to time. Role assignments and permissions are determined and managed by Upptik.

 

1.4 Change

This Contract will be changed from time to time as our Service evolves.

We may modify this Contract, and our Privacy Policy from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your account and you will no longer be a Member or authorized to use the Services. Your continued use of the Services after we publish or send a notice about our changes to this Contract means that you consent to the updated terms as of their effective date.

 

1.5 Educator Read-Only Accounts (School Counselor / Teacher)

Upptik may provide certain school personnel, including counselors and teachers, with read-only accounts for purposes of supporting students and demonstrating the Services. These accounts are designed for viewing and support and do not permit Community Participation or other interactive features.

Educator read-only accounts may be able to view student profiles and student-created materials, including Resumixes and limited engagement information, for student support purposes. Upptik may require exact-name lookup or other restrictions to limit access to only what is needed for support.

Students acknowledge that if their school provides educator access, designated school personnel may view their Resumix and limited engagement information for support purposes.

Educator read-only accounts do not permit student account management actions, messaging, posting, commenting, reacting, uploading content, or downloading, exporting, or otherwise retaining student materials through the Services.

 

1.6 Program Participants (Interns, Contractors, Volunteers, and Similar Roles)

Upptik may provide special access to interns, contractors, fellows, volunteers, or other program participants who support content development, mentoring, moderation, research, community programming, or business operations. These users may have role-based permissions that differ from standard user accounts. Certain users may be permitted to participate in the Community or mentoring features only after completing required training and being explicitly enabled by Upptik, and such access may be modified or revoked at any time.

 

1.7 Institutional and Organizational Accounts

Organizations such as schools, colleges, universities, training programs, employers, nonprofit organizations, and other entities (“Institutional Users”) may create and manage official profiles on Upptik, such as a business or institutional profile (“Business Page”), subject to this Contract and any additional agreements entered into with Upptik.

By creating or managing a Business Page, the Institutional User represents and warrants that the individual taking such actions has the authority to bind the institution or organization to this Contract. Institutional administrators may be of any age and are permitted to manage the Business Page, post content to that page (including its community feed), and respond to interactions that occur on or through the Business Page. Content posted on a Business Page may be visible to other users elsewhere in the Services, including within student or near-peer community feeds; however, Institutional administrators may be limited to viewing and interacting with that content only within the Business Page experience. Unless otherwise granted additional access by Upptik, Institutional administrators do not have access to shared Community spaces outside of their Business Page.

The Institutional User is responsible for all activity conducted on its Business Page or by individuals acting on its behalf. All content must be accurate, lawful, and consistent with Upptik's Community Guidelines and Terms of Service.

Institutional Users agree to:

  • Comply with applicable laws, including those governing privacy, student safety, intellectual property, and advertising;

  • Not collect, solicit, or export personal data about individual Members except where explicitly permitted by Upptik or with direct Member consent;

  • Not represent themselves as endorsed by Upptik without prior written authorization.

Unless a separate written agreement is in place, Institutional Users:

  • Do not have access to individual Member profiles, mentoring data, private chat transcripts, or user-specific analytics;

  • May receive only aggregated or anonymized engagement data about their Business Page where available;

  • May not use the Services to monitor or target individual Upptik users or behavior.

To participate in Community Participation features on behalf of an Institutional User, individuals must create their own personal accounts and may be required to complete additional verification, training, or role assignment as determined by Upptik. Upptik may restrict or limit Community Participation for Institutional Users or their representatives to specific spaces, including institution pages, company pages, or designated areas of the Services.

Upptik reserves the right to moderate or remove any content posted to institutional profiles or by institutional representatives. Any unauthorized marketing, outreach, or branding must be pre-approved in writing. For inquiries, contact info@upptik.com.

Employer roles and team access. Employer accounts may include an Administrator role, which has full control over billing, team management, and content, and a Team Member role, which is limited to content and messaging and does not include billing, team management, or company deletion. Team Members may be added only on a paid account and are invited by email through single-use links that expire. The organization is responsible for all activity by its administrators and team members and for ensuring each of them complies with these Terms. Each individual may be associated with only one company account. At least one Administrator must remain on every employer account at all times.

 

 

2. Obligations

 

2.1 Service Eligibility

To use the Services, you agree that: (1) you are at least 14 years old; (2) you will provide accurate information, including your date of birth where requested; (3) you will maintain only one account and will not share access; and (4) you are not prohibited from using the Services under these Terms or applicable law.

Role-based access and permissions. Upptik offers different account roles (for example, student, mentor, creator, intern, educator, school counselor, institutional representative, and other roles we may offer over time). Your ability to access and use particular features depends on your assigned role and the permissions associated with that role. Upptik may change role permissions, limit access to features, or assign or remove role-based capabilities at any time to support safety, compliance, and product operations.

Certain features, including community participation, posting, commenting, messaging, and mentoring, may be limited or unavailable for some users based on role, eligibility, or safety considerations.

Where a student joins the Services through a participating school, that school may set permissions that determine which features are available to the student until they graduate. These school-set permissions apply only to students who register through their school. They do not apply to students or other users who register independently, including college students and applicants who sign up on their own, for whom all standard features are available subject to these Terms.

If you are under 18, we encourage you to review these Terms and our Privacy Policy with a parent or legal guardian, and you represent that you have any permission required by law to use the Services.

 

2.2 Your Account

You will keep your password a secret.

You will not share an account with anyone else and will follow our rules and applicable law.

Members are account holders. You agree to: (1) use a strong password and keep it confidential; (2) not transfer any part of your account (e.g., connections) and (3) follow the law and our list of Dos and Don'ts (Section 8 below) and Upptik Community Guidelines. You are responsible for anything that happens through your account unless you close it or report misuse.

As between you and others (including your parents, school, employer), your account belongs to you. However, if the Services were purchased by another party for you to use (e.g. your school, church or other faith community, governmental program, or employer), the party paying for such Service has the right to control your access to and get reports on your use of such paid Service; however, they do not have rights to your personal account information.

Email addresses. Only an email address you have confirmed is treated as belonging to your account. If you add a secondary email address but do not confirm it, and another person later registers and confirms ownership of that same address, we will remove it from your account and notify you at your confirmed primary email. You may add a different secondary email in your settings at any time.

 

2.3 Payment

You'll honor your payment obligations and you are okay with us storing your payment information. You understand that there may be fees and taxes that are added to our prices.

Subscription billing and cancellation. Paid employer subscriptions are billed every three months (quarterly); beta access may instead be offered for a one-time fee. If you continue a quarterly subscription, the price may increase at the start of the second year and again at the start of the third year, according to the pricing presented to you at signup, and we will notify you by email at least thirty (30) days before each scheduled increase. By starting a paid subscription, you authorize these recurring quarterly charges, including any scheduled increases, until you cancel. You may cancel at any time, which stops future billing. When you cancel, you keep access through the end of your current billing period and are not billed after that.

Refunds. Except where required by law, payments are non-refundable, including the beta fee and any quarterly payments already made. If your required identity verification does not pass, your payment method is not charged, so no refund is necessary. Upptik may choose to issue a refund in exceptional cases at its sole discretion.

Authorization and verification. When you sign up for a paid subscription, we place a temporary authorization hold on your payment method for the first quarterly amount. We do not charge you at that point. We charge the first payment only after you complete and pass the required identity verification described in Section 2.7. If verification is not completed or does not pass, we release the hold and you are not charged.

If you buy any of our paid Services (“Premium Services”), you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Services. Failure to pay as agreed may result in the termination of your paid Services. Also, you agree that:

  • Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).

  • We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other Services you may buy.

  • If you purchase a subscription on an installment plan, your payment method will be automatically charged at the start of each month/period for the fees and taxes applicable to that installment (e.g. 1/12 on a yearlong subscription purchased via installments).

  • Payments made for the purchase of Services are non-refundable; provided, however, if the Service is discontinued through no fault of your own and your account is in good standing, you will receive a refund based on the unused subscription time or the unused service credits.

  • We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase.

Prices and terms for individual offerings, including Premium Membership subscriptions, ala carte services and other items are listed on our website before, during and after the purchase confirmation pages.

 

2.4 Notices and Messages

You're okay with us providing notices and messages to you through our Services and your contact information. If your contact information is out of date, you may miss out on important notices.

You agree that we will provide notices and messages to you in the following ways: (1) within the Service, or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date while you are a Member.

Please review your settings to control and limit messages and notifications you receive from us.

 

2.5 Sharing

When you share information on our Services, others can see, copy and use that information.

Our Services allow messaging (Upptik Messaging & Real-time Chat) and sharing of information in many ways, such as your profile, articles, group posts, links to news articles, job, education and training postings, and messages. Information and content that you share or post may be seen by other Members, or others (including off of the Services). Where we have made settings available, we will honor the choices you make about who can see content or information (e.g., message content to your addressees, sharing content only to Upptik connections, restricting your profile visibility from search engines, or opting not to notify others of your Upptik profile update). For job and education searching activities, we default to not notifying your connections network or the public. So, if you apply for a job through our Service or opt to signal that you are interested in a job, our default is to share it only with the opportunity poster.

We are not obligated to publish any information or content on our Service and we can remove it with or without notice.

Notwithstanding anything else herein, Mentor Members grant consent to Upptik to share clips of Mentor-created content that the Mentor posts or submits for broader viewing within the Services (for example, public or community content), at Upptik's discretion. This does not include clips from private one-to-one mentorship sessions, private chats, or student-created content, unless separately agreed or permitted by law.

Employer and student messaging. Messaging between an employer and a student becomes available after the student sends the employer a Resumix, and only when the employer's company holds a paid subscription and the relevant user is verified. Employers may send a single message to multiple applicants at once; each recipient receives it as an individual one-to-one message. We apply automated content moderation, rate limits, and other safeguards to messaging, and members may report or block other members. We may review, limit, or remove messages and may restrict messaging to protect members and the integrity of the Services. When an employer ends consideration of a student's application, the related message thread is archived and becomes read-only; both parties can continue to read prior messages, but neither can send new messages in that thread.

 

2.6 SMS Messaging Consent

By providing your mobile number during sign-up, you consent to receive SMS messages from Upptik. These messages may include one-time passwords (OTPs), session reminders, and important updates related to your account or mentorship activity. Message and data rates may apply.

You may opt out of non-essential SMS messages at any time by replying “STOP” to any Upptik SMS message. To receive help, reply “HELP” or email us at info@upptik.com.

 

2.7 Identity Verification

To protect students, including students under 18, Upptik requires identity verification for certain roles before granting access to features that involve interaction with students. This includes employer administrators and invited team members. Verification is performed through our third-party verification provider and may require you to submit a government-issued identification document and a photograph of yourself (a selfie). You agree to provide accurate verification information. Access to chat and other interactive features may be withheld, suspended, or revoked if verification is not completed or does not pass. Information you submit for verification is handled in accordance with our Privacy Policy. Upptik pays the cost of verification for invited team members; you are never charged for verification.

 

 

3. Rights and Limits

 

3.1 Your License to Upptik

You own all of the content, feedback and personal information you provide to us, but you also grant us a non-exclusive license to it.

We'll honor the choices you make in our app settings about who gets to see your information and content, including how it can be used for ads.

As between you and Upptik, you own the content, feedback and personal information that you submit or post to the Services, and you are only granting Upptik and our affiliates the following non-exclusive license:

A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content that you provide through our Services and the services of others, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:

  1. You can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.

  2. We will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content). However, we have the right, without payment to you or others, to serve ads near your content and information, and your social actions (e.g. likes, comments, follows, shares) may be visible and included with ads, as noted in the Privacy Policy. If you use a Service feature, we may mention that with your first name and last initial or photo to promote that feature within our Services, subject to your settings.

  3. We will get your consent if we want to give others the right to publish your content beyond the Services. However, if you choose to share your post as “public, everyone or similar”, we will enable a feature that allows other Members to embed that public post onto third-party services, and we enable search engines to make that public content findable through their services.

  4. While we may edit and make format changes to your content (such as translating or transcribing it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.

 

3.2 Resumix and Sharing Links

If you choose to share your Resumix using a shareable link or other sharing feature, you understand that the link may display the most current version of your Resumix. Changes you make to your Resumix may be reflected anywhere the link has been shared, unless you disable sharing or delete the Resumix.

You and Upptik agree that if content includes personal data, it is subject to our Privacy Policy.

You and Upptik agree that we may access, store, process and use any information and personal data that you provide in accordance with the terms of the Privacy Policy and your choices (including settings).

By submitting suggestions or other feedback regarding our Services to Upptik, you agree that Upptik can use and share (but does not have to) such feedback for any purpose without compensation to you.

You agree to only provide content or information that does not violate the law nor anyone's rights (including intellectual property rights). You also agree that your profile information will be truthful and consistent with the Upptik Community Guidelines. Upptik may be required by law to remove certain information or content in certain countries.

 

3.3 Service Availability

We may change or end any Service or modify our prices prospectively.

We may change, suspend or discontinue any of our Services. We may also modify our prices effective prospectively upon reasonable notice to the extent allowed under the law.

We don't promise to store or keep showing any information and content that you've posted. Upptik is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.

Retention of certain communications. Although we are not a storage service, we retain some content where reasonably necessary for legal, safety, or compliance reasons. For example, when an employer ends consideration of a student's application, the related message thread is archived and preserved rather than deleted, and we retain employer and student application communications for at least the period required by applicable law.

 

3.4 Other Content, Sites and Apps

Your use of others' content and information posted on our Services, is at your own risk.

Others may offer their own products and services through our Services, and we aren't endorsing those offerings, nor are we responsible for those third-party activities.

By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Upptik generally does not review content provided by our Members or others but we reserve the right to do so without notice. You agree that we are not responsible for others' (including other Members') content or information. We cannot always prevent this misuse of our Services, and you agree that we are not responsible for any such misuse. You also acknowledge the risk that you or your organization may be mistakenly associated with content about others when we let connections and followers know you or your organization were mentioned in the news. Members have choices about this feature in the app settings.

Upptik may help connect Members offering their services (mentors, career coaching, content creators etc.) with Members seeking services (Students). Upptik does not perform nor employs individuals to perform these services. You must be at least 18 years of age with a Mentor or Creator membership to offer or perform these services. You acknowledge that Upptik does not control Members in the performance of these services, however we do periodically record (see 10.3) the Mentor services in an effort to ensure compliance with our policies. If you are a Member offering services, you represent and warrant that you have all the required licenses and will provide services consistent with our Upptik Community Guidelines, our Privacy Policy and applicable law.

Similarly, Upptik may help you register for and/or attend events (online and offline) organized by Members and connect with other Members who are attendees at such events. You agree that Upptik is not responsible for the conduct of any of the Members or other attendees at such events. All Members who attend the events listed on the Service are required to comply with our Upptik Community Guidelines and violations of the guidelines will be met with all available remedies under the Guidelines and applicable law.

 

3.5 Limits

We have the right to limit how you connect and interact on our Services.

Upptik reserves the right to limit your use of the Services, including the number of your connections, mentor interactions and your ability to contact other Members. Upptik reserves the right to restrict, suspend, or terminate your account if you breach this Contract or applicable law or are misusing the Services (e.g., violating any of the Dos and Don'ts or Upptik Community Policies), or in our sole and complete discretion.

 

3.6 Intellectual Property Rights

We're providing you notice about our intellectual property rights.

Upptik reserves all of its intellectual property rights in the Services. Trademarks and logos used in connection with the Services are the trademarks of their respective owners. Upptik logos and other Upptik trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of Upptik.

 

3.7 Automated Processing

We use data and information about you to make relevant suggestions to you and others.

We use the information and data that you provide and that we have about Members to make recommendations for connections, content and features that may be useful to you. For example, we use data and information about you to recommend education and training providers, content, employers or mentors to you and you to a similar list. Keeping your profile accurate and up to date helps us to make these recommendations more accurate and relevant.

 

3.8 Affiliates

Affiliates are companies controlling, controlled by or under common control with us.

 

 

4. Disclaimer and Limit of Liability

 

4.1 No Warranty

This is our disclaimer of legal liability for the quality, safety, or reliability of our Services.

UPPTIK AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, UPPTIK AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

 

4.2 Exclusion of Liability

These are the limits of legal liability we may have to you.

TO THE FULLEST EXTENT PERMITTED BY LAW (AND UNLESS UPPTIK HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT), UPPTIK, INCLUDING ITS AFFILIATES, WILL NOT BE LIABLE IN CONNECTION WITH THIS CONTRACT FOR LOST EARNINGS OR PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

NOTWITHSTANDING ANYTHING ELSE HEREIN, UPPTIK AND ITS AFFILIATES WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS CONTRACT FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO UPPTIK FOR THE SERVICES DURING THE TERM OF THIS CONTRACT, IF ANY, OR (B) US $1000.

 

4.3 Basis of the Bargain; Exclusions

The limitations of liability in this Section 4 are part of the basis of the bargain between you and Upptik and shall apply to all claims of liability (e.g., warranty, tort, negligence, contract and law) even if Upptik or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.

These limitations of liability do not apply to liability for death or personal injury or for fraud, gross negligence or intentional misconduct, or in cases of negligence where a material obligation has been breached, a material obligation being such which forms a prerequisite to our delivery of services and on which you may reasonably rely, but only to the extent that the damages were directly caused by the breach and were foreseeable upon conclusion of this Contract and to the extent that they are typical in the context of this Contract.

 

 

5. Termination

We can each end this Contract, but some rights and obligations survive.

Both you and Upptik may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination:

  1. Our rights to use and disclose your feedback;

  2. Members and/or Visitors' rights to further re-share content and information you shared through the Services;

  3. Sections 4, 6, 7, and 8.2 of this Contract;

  4. Any amounts owed by either party prior to termination remain owed after termination, including unpaid installments on purchased Services.

6. Governing Law and Dispute Resolution

If you are a business user within the scope of Article 6(12) of the EU Digital Markets Act (“DMA”) and have a dispute arising out of or in connection with Article 6(12) of the DMA, you may also utilize the alternative dispute resolution mechanism available in the Help Center.

For others, including those who live outside of the United States: You and Upptik agree that the laws of the State of Connecticut, U.S.A., excluding its conflict of laws rules, shall exclusively govern any dispute relating to this Contract and/or the Services. You and Upptik both agree that all claims and disputes can be litigated only in the federal or state courts in New Haven County, Connecticut, USA, and you and Upptik each agree to personal jurisdiction in those courts.

 

 

7. General Terms

Here are some important details about the Contract.

If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract.

This Contract (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

If we don't act to enforce a breach of this Contract, that does not mean that Upptik has waived its right to enforce this Contract. You may not assign or transfer this Contract (or your membership or use of Services) to anyone without our consent. However, you agree that Upptik may assign this Contract to its affiliates or a party that buys it without your consent. There are no third-party beneficiaries to this Contract.

You agree that the only way to provide us legal notice is at the addresses provided in Section 11.

 

7.1 Service Availability and Location

The Services are intended for use primarily within the United States. Upptik makes no representation that the Services are appropriate or available for use outside the United States at this time, and we may limit or restrict access to the Services from locations outside the United States at any time.

 

 

8. Upptik Community “Dos and Don'ts”

Upptik is a community that includes students, near-peers, mentors, creators, and other approved participants. This list of “Dos and Don'ts,” along with our Upptik Community Guidelines, limits what you can and cannot do on our Services.

“Community” means the interactive areas of the Services where users may post, comment, react, message, or otherwise interact with other users.

“Community Participation” means the ability to create content, comment, react, message, tag, follow, or otherwise interact within the Community.

 

8.1 Dos

You agree that you will:

  1. Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;

  2. Provide accurate information to us and keep it updated;

  3. Use your real name on your profile; and

  4. Use the Services in a professional manner and in full compliance with the Upptik Community Guidelines.

 

8.2 Don'ts

You agree that you will not:

  1. Create a false identity on Upptik, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another's account;

  2. Post, upload, or create any content for Upptik while driving or in any unsafe situation. Upptik does not condone this behavior and will remove such content to ensure the safety of all users.

  3. Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services;

  4. Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as caps on keyword searches or profile views);

  5. Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Upptik;

  6. Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer);

  7. Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights. For example, do not copy or distribute (except through the available sharing functionality) the posts or other content of others without their permission, which they may give by posting under a Creative Commons license;

  8. Violate the intellectual property or other rights of Upptik, including, without limitation, (i) copying or distributing our learning videos or other materials or (ii) copying or distributing our technology, unless it is released under open-source licenses; (iii) using the word “Upptik” or our logos in any business name, email, or URL except with the prior written consent of Upptik;

  9. Post anything that contains software viruses, worms, or any other harmful code;

  10. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;

  11. Imply or state that you are affiliated with or endorsed by Upptik without our express consent (e.g., representing yourself as an accredited Upptik Mentor);

  12. Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same, without Upptik's consent;

  13. Deep-link to our Services for any purpose other than to promote your profile on our Services, without Upptik's consent;

  14. Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;

  15. Monitor the Services' availability, performance or functionality for any competitive purpose;

  16. Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;

  17. Overlay or otherwise modify the Services or their appearance (such as by inserting elements into the Services or removing, covering, or obscuring an advertisement included on the Services);

  18. Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or

  19. Violate the Upptik Community Guidelines or any additional terms concerning a specific Service that are provided when you sign up for or start using such Service.

 

 

9. Complaints Regarding Content

We respect the intellectual property rights of others. We require that information posted by Members be accurate and not in violation of the intellectual property rights or other rights of third parties. 10. Safety of Minors

 

10.1 Commitment to Safe Mentorship

At Upptik, we are dedicated to providing a safe and educational environment for all our Members, including minors. Our mentorship programs connecting minors with young adults are designed with the highest standards of safety and monitoring in compliance with applicable laws.

 

10.2 Verification and Training of Mentors

Mentors who participate in programs involving minors are required to complete training focused on child safety, appropriate communication, and mentorship skills.

Depending on the nature of the mentoring role, level of interaction, and applicable law, mentors may also be subject to additional verification or screening measures, which may include background checks where warranted.

 

10.3 Monitoring and Reporting

To support the safety, integrity, and quality of the Services, Upptik reserves the right to monitor or record certain interactions between Members, including audio and video mentorship sessions and transcripts of messages or chats conducted through the Services, where permitted by law.

By using the Services, Members acknowledge and consent to such monitoring and recording. Where audio or video sessions are recorded, Upptik provides notice within the Services at or before the start of the session, consistent with applicable law.

Recordings and transcripts are retained for a limited period in accordance with Upptik's data retention practices and are routinely deleted thereafter. Upptik may preserve recordings or transcripts for a longer period when reasonably necessary for safety, compliance, or legal purposes.

Upptik does not guarantee the availability of recordings or transcripts beyond its standard retention period. Decisions regarding retention and deletion are made in accordance with internal policies designed to balance safety, privacy, operational needs, and legal obligations.

Access to recordings and transcripts is restricted to authorized Upptik personnel and service providers and is used solely in accordance with these Terms, the Privacy Policy, and applicable law.

 

10.4 Reporting Concerns

Members are encouraged to report any concerns or incidents of misconduct during mentorship sessions via our after-session feedback and rating feature. Upptik commits to prompt investigation and resolution of all reported issues to maintain a safe and positive environment.

 

10.5 Limits on our Liability

While Upptik strives to maintain a safe environment, we cannot guarantee that all interactions will be free of objectionable comments or content that is upsetting to the recipient. Members agree that Upptik is not liable for any harmful or illegal conduct or breaches of the Upptik Community Guidelines by other Members, notwithstanding our commitment to safety and compliance with best practices. Additionally, while Upptik will make reasonable efforts to remove content that violates our policies, such as videos or content created while driving, we cannot guarantee that all violations will be immediately identified or removed.
